Offering MiScore to your Members<\/strong><\/p>\n

We are delighted that you will offer the MiScore Mobile Application (the App<\/strong>) from MiClub to those club members who are fully paid (Members<\/strong>) as one of the benefits of membership. Guests can also submit scores for your events\/competitions at your club\/course provided they have purchased the App.<\/p>\n

This letter sets out the terms (the Agreement<\/strong>) on which you can invite, and we will make the App available to your Members and guests (together Players<\/strong>) at [your course\/ the following courses\/ clubs\u2026..name of courses<\/strong>] (your Club or Courses<\/strong>).<\/p>\n

You acknowledge and agree that:<\/p>\n

    \n
  1. This Agreement gives you the right to invite your Members to download the App as part of their membership of your Club for the Initial Term when you pay us the Fees.<\/li>\n
  2. This Agreement does not serve to grant you or your Club any Intellectual Property in the App or any of its content. Nor does it grant us any Intellectual Property in your Materials.<\/li>\n
  3. The App is software which your Players will need to download themselves on to a Compatible Device by accessing the appropriate App store or Google Play. Your Players will be responsible for providing a Compatible Device and paying their own internet access charges.<\/li>\n
  4. The App is made available to your Players on the terms set out in the Licence Agreement which is available by this link: https:\/\/www.miclub.com.au\/cms\/miscore-app-terms-and-conditions\/app\/<\/a> (the Licence Agreement<\/strong>).<\/li>\n
  5. Your Members are required to accept the Licence Agreement displayed within the App, or they will not be able to use the App.<\/li>\n
  6. Your Members:\n
      \n
    1. can only use the App at your Club\/courses for their personal, non-commercial use; and<\/li>\n
    2. do not need to pay a Subscription Fee while they are using the App at your Club\/Course.<\/li>\n<\/ol>\n<\/li>\n
    3. The terms of the Licence Agreement apply to this Agreement with you as if they were included here in full so that you:\n
        \n
      1. are aware of and agree to be bound by the terms on which your Players are provided with the App, in particular, those clauses relating to:\n
          \n
        1. \n
            \n
          1. Club Users<\/li>\n
          2. Subscribed Users<\/li>\n
          3. Intellectual Property<\/li>\n
          4. Privacy<\/li>\n
          5. Your obligations when using the App<\/li>\n
          6. Technical Requirements of the App<\/li>\n
          7. Support Services<\/li>\n
          8. General Disclaimer;<\/li>\n
          9. Limit on Liability; and<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<\/li>\n
          10. accept any limitations or conditions that may apply to the App.<\/li>\n<\/ol>\n<\/li>\n
          11. While the App is intended to assist your Players to digitally record their golf score for competition or social play at your course we make no representation or warranty that the App will be used properly by your Players or anyone else.<\/li>\n
          12. You can use data and information from the App which has been input by Players to assist you to manage your golf course and club by allowing you to publish results and leaderboards. You are responsible for administering events\/competitions, course details, and rules of golf.<\/li>\n
          13. We may contact Players who are using the App only to provide Support Services if requested by a Player. We do not sell or trade in any personal information including Player or Club information.<\/li>\n
          14. We do not claim any Intellectual Property in any material that you submit, post, or display on the App. You give us a limited licence to make this information available to anyone using the App.<\/li>\n
          15. We are not responsible to you for any:\n
              \n
            1. costs, loss, or damages you may suffer or incur because the App is unavailable for any reason at any time;<\/li>\n
            2. connectivity or other issues experienced by the user which prevent your Players from accessing the App;<\/li>\n
            3. the quality of any information transmitted from your Players to the App;<\/li>\n
            4. public display of your Player information via leaderboards, prize results or competition information.<\/li>\n<\/ol>\n<\/li>\n
            5. We make no representation or warranty that:\n

              1. \n
                  \n
                1. the App will work if the device is incompatible or offline; or<\/li>\n
                2. Your Players will use the App properly or at all.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<\/li>\n
                3. This Agreement will renew automatically for a further twelve month term at the end of the Initial Term on the same terms and conditions as this Agreement (each a Term<\/strong>) for [you need to specify a number of further terms, such as 2 or 3 so this Agreement is certain as a contract]<\/strong> unless you tell us otherwise by contacting us at support@miclub.com.au<\/a> or phone on +61 8 9444 5300.<\/li>\n
                4. We may vary the Annual Subscription Fee by notice to you.<\/li>\n
                5. You agree to pay us the Fees for the Initial Term and the Annual Subscription Fee for each Term within 14 business days of presentation of a valid invoice by us.<\/li>\n
                6. Either of us may terminate this Agreement with 30 days\u2019 notice to the other. We may terminate this Agreement if you do not comply with this Agreement or if you do not pay us the Fees on time. We will remove access to the App for your Members and delete any data in it when this Agreement ends.\u00a0 You will no longer have the right to invite your Members to use the App.<\/li>\n
                7. We may vary this Agreement by notice to you. We may vary the Licence Agreement from time to time and we will provide you with an updated Licence Agreement if we do this.<\/li>\n
                8. This Letter is governed by the laws of Western Australia.<\/li>\n<\/ol>\n

                  In this letter words in capitals have the meaning set out in this Letter, or as defined below and as set out in the Licence Agreement under the heading, Definitions<\/strong>. The rules of interpretation under the heading, <\/span>Reading this Agreement <\/strong>in the Licence Agreement apply to this Agreement.<\/span><\/p>\n

                  Annual Subscription Fee<\/em><\/strong> means the amount of $4,200 + GST (for any 9 or 18 Hole course only) or such other amount as we notify you for any subsequent Term.<\/p>\n

                  Initial Term<\/em><\/strong> means the period which is 12 months from the date of this Agreement.<\/p>\n

                  Fees<\/em><\/strong> means:<\/p>\n

                    \n
                  1. the Software Licence Fee; and<\/li>\n
                  2. the Annual Subscription Fee.<\/li>\n<\/ol>\n
